1. Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement ("Agreement") is entered into as of March 22, 2026, by and between Soni LLC, a limited liability company organized under the laws of the Commonwealth of Kentucky, with its principal place of business in Louisville, Kentucky ("Disclosing Party"), and any individual or entity who accesses, purchases, or otherwise engages with The Golden Ratio community, trading content, or related services ("Receiving Party").

1.1 Definition of Confidential Information

"Confidential Information" means any non-public information disclosed by Soni LLC in connection with The Golden Ratio, including but not limited to:

• Proprietary trading strategies, indicators, and methodologies
• Market analysis techniques, entry/exit frameworks, and educational materials
• Discord community content, member-only posts, and internal communications
• Business operations, pricing structures, and financial data
• Membership lists, user data, and internal tools
• Any information designated as confidential or that a reasonable person would understand to be confidential

1.2 Obligations of the Receiving Party

The Receiving Party agrees to:

• Hold all Confidential Information in strict confidence
• Not disclose, distribute, reproduce, or share Confidential Information with any third party without prior written consent from Soni LLC
• Use Confidential Information solely for personal educational and trading purposes
• Immediately notify Soni LLC upon discovering any unauthorized disclosure or suspected breach
• Implement reasonable security measures to protect Confidential Information

1.3 Exclusions

This Agreement does not apply to information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was rightfully in the Receiving Party's possession prior to disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives Soni LLC reasonable prior written notice.

1.4 Term

This Agreement is effective upon joining The Golden Ratio community and remains in force in perpetuity following termination or cancellation of membership. Trading strategies and proprietary content shall remain protected indefinitely.

1.5 Remedies

The Receiving Party acknowledges that any breach or threatened breach may cause irreparable harm for which monetary damages would be inadequate. Soni LLC shall be entitled to seek injunctive relief and any other remedies available at law or in equity, including recovery of attorneys' fees and costs.

1.6 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky. Any disputes shall be resolved exclusively in the courts of Louisville, Kentucky.

2. Privacy Policy

This Privacy Policy describes how Soni LLC collects, uses, and protects information in connection with The Golden Ratio, accessible via Whop (whop.com). By accessing or using our Service, you agree to this Privacy Policy.

2.1 Information We Collect

Information You Provide:

• Name, email address, and payment information (processed by Whop's secure platform)
• Discord username and profile information upon joining our community
• Communications, questions, and feedback submitted to us

Information Collected Automatically:

• Usage data including pages visited, features accessed, and time spent in the community
• Device information such as IP address, browser type, and operating system
• Transaction data related to purchases on the Whop platform

2.2 How We Use Your Information

We use collected information to:

• Provide, maintain, and improve the Service and community experience
• Process payments and manage your membership
• Send service announcements, market updates, and educational content
• Respond to inquiries and provide customer support
• Enforce our Terms of Service and protect the rights of members
• Comply with legal obligations

2.3 Sharing of Information

We do not sell, rent, or trade your personal information. We may share information with:

• Whop (our platform provider) for payment processing and community management
• Discord for community features
• Service providers acting on our behalf under confidentiality agreements
• Law enforcement or government agencies when required by law

2.4 Data Security

We implement industry-standard security measures to protect your information. Payment data is handled exclusively through Whop's PCI-compliant infrastructure. However, no method of transmission over the internet is 100% secure.

2.5 Data Retention

We retain your information for as long as your membership is active and for a reasonable period thereafter for legal and business purposes. You may request deletion of your personal data by contacting us.

2.6 Your Rights

Depending on your jurisdiction, you may have rights to access, correct, delete, or restrict processing of your personal data. Contact us to exercise these rights.

2.7 Third-Party Links

Our Service may contain links to third-party platforms (e.g., TradingView). We are not responsible for the privacy practices of such third parties.

2.8 Changes to This Policy

We may update this Privacy Policy from time to time. We will notify members of material changes via our Discord community or email. Continued use of the Service constitutes acceptance of the updated policy.

3. Refund Policy

This Refund Policy governs all purchases made through The Golden Ratio on the Whop platform. Please read this policy carefully before making a purchase.

3.1 General Policy — No Refunds on Lifetime Plans

ALL SALES OF LIFETIME MEMBERSHIPS ARE FINAL.

Due to the immediate and ongoing access to digital educational content, trading strategies, proprietary indicators, Discord community access, and intellectual materials provided upon purchase, Soni LLC does not offer refunds on Lifetime plan purchases under any circumstances.

3.2 Acknowledgment at Purchase

By completing your purchase of the Lifetime plan at $400, you explicitly acknowledge and agree that:

• You are purchasing immediate access to digital educational content
• All sales are final and non-refundable
• You have read and understand this Refund Policy prior to completing your purchase
• No refunds will be issued regardless of usage, satisfaction, or any other reason

3.3 Monthly Subscription Cancellation

For monthly subscribers, you may cancel at any time through your Whop account settings. Cancellation takes effect at the end of your current billing period. No pro-rated refunds are issued for partial months.

3.4 Exceptions

The only exception is a verified duplicate charge or unauthorized transaction. Contact us within 7 days of the transaction with supporting documentation.

3.5 Chargebacks

Initiating a chargeback without first contacting Soni LLC is a violation of these terms. We reserve the right to permanently ban any member who initiates fraudulent chargebacks and to pursue recovery of all associated costs.

3.6 No Financial Guarantees

The Golden Ratio provides educational content and trading analysis. We make no guarantees of profitability or specific financial results. The non-refundable nature of our service reflects the delivery of education, not guaranteed outcomes.

4. Terms of Service

These Terms of Service ("Terms") govern your access to and use of The Golden Ratio, operated by Soni LLC. By purchasing a membership or accessing any part of our Service, you agree to be bound by these Terms.

4.1 Eligibility

You must be at least 18 years of age to use this Service. By accessing the Service, you represent and warrant that you meet this requirement.

4.2 Account & Membership

• Membership is personal and non-transferable
• You are responsible for maintaining the confidentiality of your login credentials
• You may not share, sell, or transfer your membership access to any other person
• Sharing account credentials will result in immediate termination without refund

4.3 Permitted Use

The Service is provided for your personal, non-commercial educational use. You agree to:

• Use the Service in compliance with all applicable laws and regulations
• Engage respectfully with other community members
• Not use the Service for any fraudulent, harmful, or unlawful purpose

4.4 Prohibited Conduct

You expressly agree NOT to:

• Copy, reproduce, distribute, or resell any content from The Golden Ratio
• Share screenshots, videos, indicators, or strategies with non-members
• Solicit other members for competing services or investment schemes
• Engage in harassment, discrimination, or abusive behavior in the community
• Attempt to reverse-engineer any indicators, tools, or proprietary systems
• Use automated bots, scrapers, or similar tools to access or collect content
• Impersonate Soni LLC, its staff, or other members

4.5 Educational Disclaimer

ALL CONTENT PROVIDED BY THE GOLDEN RATIO IS FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY.

Nothing in our Service constitutes financial advice, investment advice, trading advice, or a recommendation to buy or sell any financial instrument. Trading involves substantial risk. Past performance is not indicative of future results. You trade at your own risk.

4.6 Termination

Soni LLC reserves the right to suspend or terminate your membership at any time, with or without notice, for violation of these Terms or any conduct deemed harmful to the community.

4.7 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR TRADING LOSSES.

Our total liability shall not exceed the amount you paid for your membership in the three months preceding the claim.

4.8 Indemnification

You agree to indemnify, defend, and hold harmless Soni LLC and its members, officers, and agents from any claims, liabilities, damages, or expenses (including attorneys' fees) arising from your use of the Service.

4.9 Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Kentucky. Disputes shall be submitted to binding arbitration in Louisville, Kentucky, under the rules of the American Arbitration Association.

5. Age Policy — 18+ Only

5.1 Minimum Age Requirement

THE GOLDEN RATIO IS AN 18+ SERVICE.

You must be at least 18 years of age to access, purchase, or participate in any aspect of The Golden Ratio community or services offered by Soni LLC. This requirement is strictly enforced.

5.2 Rationale

This age restriction exists because:

• The Service discusses financial markets, trading instruments, and investment concepts that require adult judgment
• Content may include discussion of risk, leverage, and financial loss
• Applicable financial regulations and platform terms require adult-only access

5.3 Representation & Warranty

By accessing the Service, you represent, warrant, and covenant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts in your jurisdiction
• You are not accessing this Service on behalf of a minor
• All information you provide regarding your age is truthful and accurate

5.4 Verification & Enforcement

Soni LLC reserves the right to request age verification at any time. If a member is discovered to be under 18, membership will be immediately terminated without refund, as the member fraudulently misrepresented their age.

5.5 Parental Notice

Soni LLC does not knowingly provide services to individuals under 18. If you are a parent or guardian and believe your minor child has accessed our Service, please contact us immediately.

6. Intellectual Property Policy

This Intellectual Property Policy sets forth the ownership, rights, and permitted uses of all intellectual property associated with The Golden Ratio, owned and operated by Soni LLC.

6.1 Ownership

All intellectual property rights are exclusively owned by Soni LLC, including:

• The name, brand, and logo of "The Golden Ratio"
• All trading strategies, frameworks, and methodologies
• Proprietary indicators, scripts, and trading tools
• Market analysis, educational materials, guides, and written content
• Video recordings, screen shares, and multimedia content
• Discord server structure and community design

6.2 License to Members

Soni LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use Service content solely for your personal, non-commercial educational purposes during your active membership.

6.3 Restrictions

Except as expressly permitted, you may NOT:

• Copy, reproduce, distribute, publish, or display any content from the Service
• Create derivative works based on Soni LLC's intellectual property
• Use The Golden Ratio name, brand, or likeness for any commercial purpose
• Reverse-engineer, decompile, or extract source code from any indicators or tools
• Record, screenshot, or capture Service content and share with non-members
• Remove or alter any copyright, trademark, or proprietary notices

6.4 Trademark

"The Golden Ratio" and associated logos and branding are trademarks of Soni LLC. Unauthorized use of these marks is strictly prohibited and may result in legal action.

6.5 DMCA & Enforcement

Soni LLC respects intellectual property rights and expects members to do the same. Violations will result in immediate membership termination without refund and may subject the violator to civil or criminal liability.

7. Pricing Policy

This Pricing Policy governs the membership plans, fees, billing practices, and promotional pricing offered by Soni LLC for The Golden Ratio. By purchasing any membership plan, you agree to the terms below.

7.1 Available Membership Plans

Monthly Plan: $100.00/month (recurring) — Full access while subscription active. Cancel anytime.

Lifetime Plan: $400.00 (one-time) — Permanent access. All sales final.

7.2 Monthly Plan — Details

• Billed on a recurring monthly basis through the Whop platform
• Full access to the Golden Ratio Discord community and all active content
• Market analysis, trading strategy updates, and proprietary indicators
• Access continues as long as subscription remains active and in good standing
• Cancel at any time; access continues through end of the current billing period
• No prorated refunds for unused days within a billing period

7.3 Lifetime Plan — Details

• Single, one-time payment — no recurring charges ever
• Permanent access to The Golden Ratio community for the life of the product
• Access to all current and future content, updates, indicators, and strategies
• Priority standing in the community as a lifetime member
• All sales are final — see Refund Policy (Section 3)

7.4 Promotional & Limited-Time Pricing

• Promotional pricing is valid only for the duration specified and may expire without notice
• Promotions are non-stackable — only one discount may be applied per purchase
• Past promotional prices do not entitle any member to retroactive discounts or credits
• Soni LLC reserves the right to modify, extend, or terminate any promotion at any time

7.5 Billing & Payment

• All payments are processed securely through the Whop platform
• Monthly billing occurs on the same date each month as your initial subscription date
• It is your responsibility to maintain valid, up-to-date payment information in your Whop account
• Failed payments may result in immediate suspension of access until resolved
• Soni LLC does not store or have direct access to your payment card information

7.6 Price Changes

Soni LLC reserves the right to adjust pricing at any time. Monthly subscribers will be notified at least 14 days in advance of any price increase. Continued use after the effective date constitutes acceptance of the new pricing. Lifetime members' one-time payment is honored for the life of the product regardless of future price changes.

7.7 Taxes & Currency

All prices are listed in United States Dollars (USD) and are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or other taxes imposed by your jurisdiction. Currency conversion fees are the responsibility of the purchaser.
